Terms of Service

1. Acceptance of terms
By creating an account, accessing, or using Kestrel Portal (the "Service"), operated by Kestrel Portal Inc. ("Kestrel", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. The Service
Kestrel provides AI-assisted communication, scheduling, and payment tools for small service businesses and a marketplace where customers can discover and book those businesses. The Service may be updated, modified, or discontinued at any time.
3. Accounts and eligibility
You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity on your account. Notify us immediately of any unauthorized use.
4. Subscriptions and payments
Paid plans are billed in advance on a monthly basis through Stripe. Free trials are valid for 14 days; you may cancel before the trial ends at no charge. Refunds are issued at our discretion. Prices may change with 30 days' notice.
5. Acceptable use
You agree not to use the Service to transmit unlawful, harassing, defamatory, fraudulent, or infringing content; to spam customers; to reverse engineer the Service; or to interfere with its operation. Violations may result in suspension or termination without refund.
6. AI-generated content
The Service includes AI that generates messages to your customers on your behalf based on the configuration you provide. You are responsible for reviewing and approving AI behavior. Kestrel does not guarantee AI output and is not liable for content sent by the AI under your configuration.
7. Your content
You retain ownership of business information, photos, and customer data you upload. You grant Kestrel a limited, worldwide, royalty-free license to host and display that content solely to operate the Service. You represent that you have the right to upload everything you upload.
8. Marketplace listings
Businesses listed in the marketplace are independent operators, not Kestrel employees. Kestrel does not endorse, guarantee, or assume liability for the services performed by any listed business. Reviews reflect the views of their authors, not Kestrel.
9. Termination
You may cancel at any time from your account settings. We may suspend or terminate accounts that violate these Terms. On termination, access stops immediately; you may export your data for 30 days, after which it is deleted per our retention policy.
10. Disclaimers and limitation of liability
The Service is provided "as is" without warranties of any kind. To the fullest extent permitted by law, Kestrel's total liability for any claim related to the Service is limited to the amount you paid Kestrel in the 12 months preceding the claim.
11. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Disputes will be resolved by binding arbitration in Delaware, except either party may seek injunctive relief in court for intellectual-property matters.
12. Changes
We may update these Terms from time to time. Material changes will be announced at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
